الشروط والأحكام

This Agreement is intended to govern the relationship between (ذا شفز) and the User and stipulates the rights and obligations of both Parties.

1. التعريفات

يقصد بالمصطلحات الآتية أينما وردت في هذه الشروط والأحكام المعاني المبينة قرينها ما لم يقتض سياق النص خلاف ذلك:

• ذا شفز: The Chefz Co., with commercial registration number 1010996779 providing its Services through the (The Chefz) Platform, having its address at Riyadh, Imam Saud bin Faisal Road, and shall be referred to hereinafter as “we, us or our”.
• User/Customer: The person signing up for an account with (ذا شفز) Platform or benefiting from the Services of (ذا شفز), and may further refer to any person surfing or browsing our Platform under the applicable Terms and Conditions.
• المتجر: Any store, restaurant, bakery, pastry shop, and other places offering their products on the (ذا شفز) Platform.
• المندوب: الشخص الذي يوصل الطلب إلى المستخدم.
• المنصة: (The Chefz) Application through which the User can access or use (ذا شفز) Services.
• الطرف الثالث: Any person, whether of a natural, public or private legal capacity, including ذا شفز and its representatives, as the case may be.
• الاستخدام: means using any of the Services of (ذا شفز) or signing up or logging onto its Platform. “Uses”, “Using”, and “Used” shall be interpreted accordingly.
• البيانات الشخصية: يعني أي معلومات تتعلق بمستخدم محدد أو قابل للتعرف.
• المخالفة: Any act or breach by the User of any provision of the Terms and Conditions or any provision in a law, regulations, resolution, contract, custom or violation of public morals in force in the Kingdom of Saudi Arabia and in the country in which the User uses the Services of (The Chefz) in its territory and jurisdiction. “Violate”, “violates”, and “violated” shall be interpreted accordingly.

2. خدمات ذا شفز

(ذا شفز) is an electronic platform providing paid Services and enables Users to order from available Stores offering their products and merchandise on such platform. It also provides payment service and order delivery service. Therefore, ذا شفز neither prepares, processes, offers nor interfere with the products and merchandise offered on the Platform.

3. شروط خدمة المستخدم

الشروط والأحكام التالية ستنطبق على المستخدم من أجل أن تكون وجوده واستخدامه لخدمات (ذا شفز) قانونيًا:

• The User of (ذا شفز) must be fully competent, have full capacity and must be at the age of (13). If the User lacks competency or is under the age of (13), his/her use of (The Chefz) Services and the Application must be approved and be under supervision of a parent or legal guardian, as the case may be. The permission and supervision of the User’s parents or legal guardian shall be reflected in the acceptance and approval of the User’s Terms and Conditions and other policies issued by (The Chefz), as may be updated.
• No User account is disabled, banned, suspended or canceled by them.
• (ذا شفز) يمكن استخدامها للأغراض الشخصية وغير التجارية.

4. التمثيلات والضمانات:
   • The User hereby represents and warrants that the User may use (ذا شفز) Application only in a proper manner and for legitimate and acceptable purposes in compliance with our purpose and Services, and in accordance with the Terms and Conditions, the public morals, and all laws, regulations and resolutions issued by the state of which regulations shall be applicable to (The Chefz) and the state in which the User accesses our Services and Platform.

• The User declares that the Terms of Service are applicable to the User, and that they shall comply with the Terms and Conditions as well as all policies issued by (ذا شفز), as updated.

• المستخدم يعلن أن جميع البيانات والمعلومات والعناوين وجهات الاتصال المُدخلة والمُقدَّمة صحيحة وصحيحة، وأن طرق الدفع التي ستُستخدم هي شرعية ومملوكة من قبل المستخدم أو أن المستخدم مُفوَّض لاستخدامها والتصرف فيما يتعلق بهذه الطرق.

• The User undertakes to keep and maintain the credentials of the personal account in confidence, and to notify (ذا شفز) as soon as the User becomes aware of any unauthorized or illegal use or access, by any means, to our Services using its own account, credentials, name or address or payment methods.

• The User undertakes not to share or use its account with third parties. Should the User authorize third party to act on its account, all actions made by said third party shall be deemed to be actions made by the User and the User shall assume liability therefor.

• يتعهد المستخدم بأن يكون دائمًا على اتصال ويبقى قريبًا من وسائل الاتصال المشار إليها في الحساب الشخصي عند إجراء طلب أو استخدام خدمات (ذا شفز) حتى يتم تقديم الخدمة أو تسليم الطلب.

• The User shall not use or include in its orders anything that offends, abuses, harms or harasses others by any means, including (ذا شفز) and delivery agents. The User shall not further send, receive, download or upload in, on or through our Platform anything that is in violation of the Terms and Conditions and the applicable rules, regulations, resolutions and public morals. In addition, the User is required to comply with the content standards set forth in Clause (5) of the Terms and Conditions.

• The User shall not process, monitor, copy, extract, collect, merge, modify, alter or take any other action regarding any information, content or data available or accessible through (ذا شفز) Platform in violation of the intellectual property rights by any means. The User is not allowed to enter, add, upload or download any illegal or unauthorized material or take any action that would directly or indirectly disrupt or affect the operation or security of (ذا شفز) Platform. The User shall not reverse engineer, reverse assemble, disassemble, or otherwise perform computer or software operations or act on ذا شفز Platform for any purpose.

• The User shall not claim any intellectual right to any photos, videos or comments provided through ذا شفز Application regarding the products or experiences, whether these materials contain or do not contain personal information. The User understands and agrees that such materials may be republished or used by the Applications without any guarantees to protect the same materials or their rights thereto.

• When rating the Services, the User undertakes to verify the contents described in Clause (14) hereof.

• The User shall assume responsibility for and shall defend, indemnify and hold The Chefz harmless from and against, all violations, infringements or breaches, whether deliberately or negligently, of any legal or customary provision or agreement, including these Terms and Conditions, and any other agreements or policies issued by ذا شفز.

5. معايير المحتوى
   • The User shall comply with the Acceptable Content Standards, which apply to all data and materials entered, shared, received, sent, downloaded, uploaded and/or displayed by the User, regardless of their nature, through (ذا شفز) Platform, as well as the associated interactive Services. The User shall use the same Platform in compliance with the Terms and Conditions, the public morals, laws, regulations and resolutions in force in the Kingdom of Saudi Arabia, and in any state of which regulations are applicable to the User while using (ذا شفز) Platform and the related Services.

• All User input, contributions and posts shall be true and accurate when presenting or clarifying facts. The User shall act in good faith when providing reviews, suggestions or ratings.

• هذه الإدخالات والمساهمات والمشاركات، بأي طبيعة أو بأي شكل، لا يجب أن تتضمن:
  • أي كلمات أو نصوص أو وسائط أو سلوك يكون طابعها: مسيء للسمعة، فاحش، مسيء، عنصري، مكروه، محرض، جنسي، يشجع على العنف، أو يشجع على التمييز بناءً على العرق، الجنس، الدين، الجنسية، الإعاقة أو العمر.
  • Infringement of any copyright or intellectual property rights, including copyrights, trademarks and patents, of any natural or legal person, including the rights of (ذا شفز);
  • أي مادة قد تخدع أي شخص بأي وسيلة، أو تنتهك أي التزام قانوني أو واجب نحو طرف ثالث، بما في ذلك، على سبيل المثال دون حصر، الالتزامات التعاقدية أو السرية، أو التي قد تعزز أو تدعم أي نشاط غير قانوني.
  • التهديدات، الإساءات، الاعتداءات، انتهاك الخصوصية، التحرش، الإزعاج، تسبب القلق، أو أي مواد قد تسبب بأي شكل من الأشكال الخوف أو الإحراج أو الغضب لأي شخص.
  • التنكر بشخصية أي شخص، أو تزييف الهوية أو النسبية للمستخدم نفسه إلى أي شخص أو كيان.
  • المشاركة في أو دعم أو تشجيع أو ترويج أو دعم أي نشاط غير قانوني أو فعل، بما في ذلك، ولكن لا يقتصر على ذلك، انتهاك حقوق النشر أو سوء استخدام الكمبيوتر.

• يجب الالتزام بالمعايير والمحظورات في الشكل والمضمون على حد سواء.

6. مسؤوليات المستخدم:
   • The User shall be responsible for reviewing these Terms and Conditions and the Privacy Policy and any other policies issued or to be issued by ذا شفز, as updated and amended, as well as the notifications sent by (ذا شفز) through the means of communication provided to us.

• يجب على المستخدم تحديث بياناته ومعلوماته في حالة وجود أي تغيير فيها. وإلا، سيتم اعتبار البيانات والمعلومات المسجلة لدينا ملزمة وفقًا للقانون. في حال عدم تحديث هذه البيانات والمعلومات، يتحمل المستخدم جميع العواقب أو الخسائر الناتجة، بما في ذلك التوقف أو العجز أو فشل تسليم الطلب.

• يتحمل المستخدم جميع العواقب والخسائر الناتجة عن عدم الامتثال لبند (4.6) من هذه الشروط والأحكام بشأن البقاء دائمًا على الاتصال أثناء استخدام الخدمة حتى الانتهاء، بما في ذلك التوقف أو العجز أو فشل تسليم الطلب.

• يتحمل المستخدم جميع التكاليف والرسوم والخسائر المترتبة على طلباته في حالة الإلغاء، أو رفض استلام الطلب، أو إذا لم يتمكن من تسليم الطلب بسبب سبب يعزى إلى المستخدم، وفقًا لبند (11) من الشروط والأحكام.

• يتحمل المستخدم مسؤولية التحقق من جودة المنتجات المعروضة على منصة (ذا شفز)، ونوعها، وموثوقيتها، وجميع التفاصيل المتعلقة بها، عن طريق توجيه جميع الاستفسارات إلى المتاجر التي تقدم خدماتها ومنتجاتها للمستخدم من خلال منصة (ذا شفز).

• The User shall be held responsible for misusing the Services of (The Chefz) and for violating any of the User’s terms and conditions, violating any law, regulations, resolutions, norms or public morals, or assaulting third parties and infringing their rights.

• يجب على المستخدم قبول أي عواقب تنتج عن تقديم أو إدخال أو تسجيل أي معلومات غير صحيحة.

• The User shall be responsible for disclosing its account information and data on (ذا شفز) to third parties, including providing third parties with or failing to keep its credentials, or enabling third parties to use its account by any means, whether directly or indirectly.

• يتحمل المستخدم مسؤولية جميع العواقب الناتجة عن عدم الإبلاغ عن وصول غير قانوني إلى بياناته أو حسابه، أو تأخير الإبلاغ عنه، كما هو مفصل في بند (4.4) من الشروط والأحكام. في حال الإبلاغ، لا يتم تخليص المستخدم من المسؤولية عن أي ضرر يتكبده نتيجة لذلك.

• The User shall defend, indemnify and hold (ذا شفز) harmless from and against all and any disputes and claims that may brought by (ذا شفز) against the User or by third party against (ذا شفز). In the event, such disputes and claims arise out of an error, omission, breach or violation by the User of any contract, law, regulations, resolutions, customs or traditions in the state in which the User resides, or the state within the jurisdiction of which these infringements and violations fall, or out of the User’s violation of the Terms and Conditions, regardless the nature of such disputes or claims. The indemnification shall include all expenses and fees incurred by (ذا شفز) in satisfaction, settlement or reimbursement of such claims, including judicial costs and attorneys’ fees, even if (ذا شفز) is the losing party.

7. تقتصر مسؤولية (ذا شفز) على:
   • ذا شفز لا يتحمل (ذا شفز) أي مسؤولية عن أي ضرر أو خسارة أو إغفال يتسبب فيه أي تأخير أو فشل في تقديم الخدمة لأي سبب يتجاوز إرادته أو سيطرته، بما في ذلك، ولكن دون الاقتصار عليها، سبب قابل للنسبة إلى المستخدم، قوة قاهرة، ظروف جوية سيئة، و/أو قرارات السلطات الرسمية، التي لا يمكن توقعها أو تجنبها.

• (ذا شفز) shall not bear responsibility for damage suffered by the User when using our Platform, such as viruses or malwares, that do not result from negligence or gross negligence or prepared by us, nor does it bear responsibility for damage caused by a third party not related to us or controlled by us, including, but not limited to, external links and hyperlinks provided through our Platform leading to other websites or programs that we do not guarantee the contents and security thereof. Kindly be noted that at (ذا شفز), we take all reasonable measures to keep our Platform as safe as possible.

• ذا شفز لا تتحمل مسؤولية فهم المستخدم بشكل خاطئ، أو سوء استخدام الخدمة، أو انتهاك أي من الشروط والأحكام أو أي قانون أو لوائح أو قرارات أو أعراف أو تقاليد عامة، ولن تكون مسؤولة أيضًا عن انتهاك المستخدم لحقوق أي طرف ثالث، بما في ذلك ممثليهم.

• ذا شفز shall not be responsible for any intellectual property or privacy right to any photos, videos or comments provided by the User regarding the products or experiences, whether these materials contain or do not contain personal information of the User or any other information. The Chefz shall not further provide any guarantees or protection to such materials.

• (ذا شفز) shall not be held responsible for the incorrect data or contents of the products offered and provided by the Stores whose Services are available on (ذا شفز) Platform, including any food allergens, type, nature, method of preparation or ingredients thereof. In addition, (ذا شفز) shall not be responsible for bad quality of the products and failure to meet the User’s expectations, or for any failure by the said Stores or restaurants to abide by the laws, regulations and resolutions of the Ministry of Health and the Ministry of Municipal, Rural Affairs and Housing of the Kingdom of Saudi Arabia and their counterparts in other states where the Services of (ذا شفز) are available. All such matters shall be the responsibility of the Store and shall be beyond the control and responsibility of (ذا شفز).

• ذا شفز shall not be responsible for the failure of Stores offering their Services through ذا شفز Platform to comply with the directives, instructions, resolutions or laws and regulations of Saudi Food and Drug Authority, including instructions related to food labels, ingredients and values written next to each meal, as this data is filled out by Stores and ذا شفز has no interference in this data, including, without limitation:
  • Calories of meals;
  • Disclosure of allergens in meals;
  • Disclosure of caffeine content in beverages;
  • Labeling of physical activities in menus; and
  • Labeling of high-salt meals in menus.

• ذا شفز shall not be responsible for the results of the ratings and comments of the Users on the Stores, or for the loss arising out therefrom. ذا شفز shall not further assume responsibility for any recommendations of any product or Store that may appear to the User as these results and recommendations are the result of estimated or automated statistical data subject to the information, reviews or data collected from Users.

• ذا شفز shall not be liable for any infringements, violations or breaches of any laws, regulations, resolutions, norms or public morals that are committed by a natural or legal person not controlled or supervised by ذا شفز, rather it is managed, supervised or controlled by a third party, including, but not limited to, the infringements, violations or breaches of interactive Services related to oral or written means of communication that are not directly supervised by (ذا شفز).

• بشكل عام، (ذا شفز) لن تتحمل مسؤولية أي ضرر أو خسارة لم يتسبب فيه انتهاكها أو إهمالها.

• (ذا شفز) shall be held responsible in the event of any failure or default in implementation of the request to compensate the User in accordance with Clause (13) of these Terms and Conditions.

8. حقوق المستخدم:
   • Notifying the User of the fundamental modifications made to the Terms and Conditions and the Privacy Policy or any other policy to be issued by ذا شفز;
   • توفير نسخة إلكترونية من فاتورة الطلب الصادرة عن (ذا شفز) للمستخدم؛
   • إبلاغ المستخدم في حالة عدم تمكن توصيل طلبه.
   • حق المستخدم في إلزام (ذا شفز) بتوجيه ممثليها لتنفيذ جميع التدابير الاحترازية والوقائية الصادرة عن السلطات الرسمية.
   • الحفاظ على بيانات المستخدم الشخصية قدر الإمكان باتباع التدابير الأمنية اللازمة والإجراءات، ومنع سوء الاستخدام أو الاستخدام، أو مشاركة مثل هذه البيانات لأغراض غير المشروعة المذكورة في الشروط والأحكام أو في سياسة الخصوصية، كما هو محدثة.

• Protecting the User’s personal data and maintaining its confidentiality, and informing the User of their rights therein in accordance with the provisions of the Privacy Protection Policy as updated and made available on the website, which is subject to the Personal Data Protection Law, the regulations thereof and relevant laws and legislation;
• Notifying the User of any breach of its personal data on (ذا شفز) Platform and databases, clarifying the effects of, and the measures taken to remedy, such breach within (3) days as of the date (ذا شفز) becomes aware of the breach;
• The User shall have the right to hear, receive and address their complaints about exposures while using the Services of (ذا شفز), in accordance with Clause (15) of these Terms and Conditions; and
• The User desiring to stop using (ذا شفز) Platform and processing and using its personal data in accordance with the Terms and Conditions and the Privacy Policy may contact (ذا شفز) to cancel its account as stated in these Terms and Conditions and Privacy Policy.

9. صلاحيات وسلطات ذا شفز:

In addition to the Terms and Conditions, the Privacy Policy, and other policies to be issued by ذا شفز, if any, including the powers vested in (ذا شفز), the User agrees and acknowledges the following powers and authorities of (ذا شفز):

• Keeping and maintaining the User’s personal data, and all information collected from your use of (ذا شفز) Platform, of any nature or in any form, without prejudice to the privacy of the User subject to the restrictions and powers stated in the Privacy Policy;
• Using the User’s personal data and contact details to notify the User of any statement related to the Services, terms, policies, requests and complaints of ذا شفز, and other purposes, and the User agrees to use its contact details for advertising, marketing and promotional purposes with regard to the Services of (ذا شفز) or of the Stores offering their Services thereon;
• Processing the Users’ personal and non-personal data and information collected, uploaded, sent or entered for the purposes and Services of (ذا شفز), and for the purposes of increasing customers, whether Users or Stores, or to conduct any research related to any of the contents of this Clause in accordance with the provisions of the Privacy Policy;
• Destroying any non-personal data and information collected from the User’s use of the Application of any type, including, but not limited to, ratings of the Stores, products and Services, and statistics collected from Users’ use of (ذا شفز) Platform. Nonetheless, such data and information may be reused, sold, distributed or transferred, without any consideration to the User or third party, provided to adopt anonymization approach;
• Canceling, deleting, suspending or banning temporarily or permanently any account of any User at any time without notice, whether due to User’s violation of the content or Acceptable Use Standards or any provision of the Terms and Conditions or any other terms formulated by ذا شفز, or for any other reason at our sole and absolute discretion, with the right to prosecute the User and oblige the User to incur the resulting legal costs and attorney’s fees;
• حذف أو منع أو حظر أي تعليقات أو كلمات أو منشورات أو مدخلات من أي نوع من قبل المستخدم على منصة (ذا شفز)، سواء بسبب انتهاك معايير المحتوى أو لأي سبب آخر، وفقًا لتقدير (ذا شفز) الخاص والمطلق.
• Suspending its Services or suspending the operation of its Platform, in whole or in part, permanently or temporarily, for the purposes of maintenance, upgrading, development or modification, or for any other purpose or reason, at its sole discretion, at any time without prejudice to the right of the User to whom Service is provided during such interruption or suspension to be compensated in accordance with Clause (13.4) of the Terms and Conditions; and
• Disposition of its property or outsourcing its Services. In such event, the successor shall be bound by these Terms and Conditions and the Privacy Policy, until updated and the User is notified.

10. كيف يعمل تطبيق ذا شفز؟
    • ذا شفز المنصة تتيح للمستخدم اختيار أي من المتاجر المتاحة التي تقدم خدماتها عبر المنصة. كما تقدم قائمة بالمنتجات المتاحة في هذه المتاجر، مع وصفها وأسعارها، وتقييمات المستخدمين، بالإضافة إلى مجموعة من طرق الدفع المتنوعة وفقًا لتفضيلات المستخدم. كما تمكّن المنصة المستخدم من تتبع الطلب والتواصل مع مندوب التوصيل.
    • يمكن للمستخدم الطلب من أحد المتاجر المتاحة وفقًا لموقعه، عن طريق إضافة المنتجات المرغوبة من قائمة المتجر إلى عربة التسوق. كما يمكن للمستخدم أيضًا إضافة (طلب خاص) إلى المنتج حسب رغبته، عن طريق كتابة ملاحظة قبل إضافة المنتج إلى عربة التسوق.
    • When the User selects all products that they want from the list, the User must go to (the cart) and specify the accurate delivery address and the preferred date of receipt, either at the earliest available time, or by scheduling an appointment via the (Scheduled Appointment) feature by specifying the desired day and time for delivery.
    • The User shall carefully review the order, the invoice, and the information entered including the addresses, contact details and payment dates and methods selected from the available list before clicking on “Send the order” button, because the contract shall be concluded as soon as the User clicks on “Send the order” and the Store accepts the order.
    • ذا شفز shall not be obligated to accept the order after the User submits it for any reason. In this case, the User shall be compensated for any electronic payments previously made.
    • When the User makes any mistake in completing the required data to proceed the order without having the chance to modify the order, the User shall be required to contact the Customer Service at (ذا شفز) to correct the order subject to the following:
      • إذا كان من المقرر تسليم الطلب في أقرب تاريخ، يجب على المستخدم إبلاغنا بالخطأ الذي يجب تصحيحه، في أي وقت وحيثما كان ذلك ممكنًا، شريطة ألا يكون المتجر قد بدأ معالجة طلب المستخدم خلال هذه الفترة؛
      • في حال تم جدولة الطلب، يجب على المستخدم إبلاغنا بالخطأ الذي يجب تصحيحه على الأقل قبل (24) ساعة من تاريخ تسليم الطلب، شريطة ألا يكون المتجر قد بدأ معالجة طلب المستخدم خلال هذه الفترة؛
      • Upon the expiry of the specified period, the User’s right to exercise its right contained in this Clause shall be forfeited if the User has benefited from the received product and/or the Service, including, without limitation, starting to prepare the order or receiving the order by the representative to benefit from the Service provided by (ذا شفز); and
      • Not every modification that the User wishes to make shall be considered as a mistake under the provisions of this Article. (ذا شفز) shall, at its discretion, determine the mistake that may be corrected in accordance with the provisions of this Clause, as the case may be, and the possibility to be rectified.
    • قد نقوم بتصحيح أي خطأ غير مقصود في البيان أو العرض المقدم أو الواضح للمستخدم، شريطة أن يتم الاتصال بالمستخدم وإبلاغه بالخطأ بأسرع ما يمكن بمجرد أن نكتشفه وقبل بدء معالجة الطلب أو استلام الطلب من المستخدم أو تسليمه إليه. في مثل هذه الحالة، قد يختار المستخدم المضي قدمًا في الطلب بعد التصحيح أو إلغاء الطلب والحصول على تعويض عن عواقب هذا الخطأ فقط.
    • The delivery representative’s termination of the order is considered a completion of the Service and a presumption that the User has received the order. The User whose order is terminated before receiving it must file a complaint within (10) minutes from the time the delivery representative terminates the order, in accordance with Clause (13.5) of the Terms and Conditions.
    • يتحمل المستخدم أي مبالغ تفرضها المتجر بزيادة عن محتويات الفاتورة نتيجة إضافة أية ملاحظة أو طلب خاص إلى المنتج.
    • All data and details provided in the Stores and their lists shall be the responsibility of the Store that supplies (ذا شفز) with them, and we do not guarantee their accuracy. The User shall be held responsible for verifying the accuracy of the details directly from the Store in accordance with Clause (6.5) of the Terms and Conditions.

11. الإلغاء وعدم تسليم الطلب:
    • The User is allowed to cancel their order, provided that the Store has not started processing the order, without incurring any financial charges.
    • إذا أراد المستخدم إلغاء الطلب بعد أن بدأ المتجر في معالجته، يجب على المستخدم دفع جميع التكاليف المالية التي تكبدتها في ذلك الشأن.
    • If the User has a scheduled order using the “Scheduled Appointment” feature, the User may contact the Customer Service via the “Contact Us” feature to cancel the order before processing the order. Otherwise, the provisions of Clause (11.2) above on cancellation shall apply.
    • إذا رفض المستخدم استلام الطلب بعد تسليمه إلى الموقع المُدخل، يُعتبر الطلب ملغيًا بعد قبوله وإعداده، وستنطبق أحكام البند (11.2) أعلاه.
    • If it is not possible to reach the User due the inaccurate addresses or contact details, or if the User fails to stay on connectivity after making the order, a (15)-minute period shall be given from the time the representative arrives at the location specified by the User. If such period is expired without responding to or contacting the representative or the Customer Service or without receiving the order, the order shall be cancelled, and (ذا شفز) shall not be obligated thereafter to deliver the order or compensate the User by any means due to violation of Clauses (6.2) and (6.3) of the Terms and Conditions.
    • (ذا شفز) does not provide a replacement or return service for any of the products ordered/received by the User, regardless of the nature of the product, since the Store’s return policies shall apply, which is beyond our control. Accordingly, the User must directly contact the Store that owns the product.

12. رمز الاسترداد النقدي (كاش باك كود):
    • يمكن الحصول على Cashback بنسبة 42٪ على الفاتورة بحد أقصى يبلغ 15 ريال سعودي اعتبارًا من 01/12/2023 حتى نهاية العرض.
    • يمكنك الحصول على Cashback من خلال خدمة التوصيل والهدايا فقط.
    • لا يتم كسب Cashback للخدمات الأخرى المتبقية في التطبيق.
    • سيتم تحويل الـ cashback المكتسب إلى محفظة العميل ولن يتم تحويله إلى الحساب البنكي.
    • سيتم تحويل الـ cashback المكتسب إلى محفظة العميل خلال ساعة واحدة بعد التوصيل والدفع الإلكتروني فقط عبر التطبيق، دون الحاجة إلى الدفع نقدًا أو التحويل إلى حساب قبطان التوصيل.
    • في حالة إلغاء الطلب أو عدم الدفع، لن يحصل العميل على أي Cashback.
    • لا يمكن سحب الـ cashback أو استبداله بنقود.
    • ذا شفز Application shall be entitled to change the Terms and Condition of cashback offers without prior notice.

13. تعويض:
    • المستخدم الذي يتعرض لأذى أو يفقد عنصرًا من طلبه أو يتلقى منتجًا مختلفًا عن المنتج المطلوب، يحق له الحصول على تعويض عن طريق أيٍ من الوسائل التالية:
      • محاولة تسليم نفس المنتج الذي طلبه المستخدم أو منتج مماثل بناءً على الاتفاق مع مراعاة الفارق في السعر؛ أو
      • Reimbursing the User for the value of the missing or damaged product or the value of the correct product by crediting the amount to the customer’s wallet.
    • The User shall be entitled to compensation if the product ordered is not available in the Store, and shall be compensated with the value of the product by crediting the amount to its wallet, if the User has paid for the product in advance electronically before receipt.
    • In the event of a delay in the delivery of the order, the User shall be entitled to be compensated with the value of the delivery by crediting the amount to its wallet based on a complaint submitted by the User. However, the User’s request shall be considered late if submitted after (60) minutes as of the scheduled delivery time. Provisions of Clause (1.7) of the Terms and Conditions shall be excluded.
    • في حالة حدوث انقطاع أو تعليق لمنصة ذا شفز أثناء خدمة المستخدم؛ أي بعد إرسال الطلب وقبل تسليم الطلب للمستخدم، لأكثر من (60) دقيقة دون إعادة المنصة عبر الإنترنت، يحق للمستخدم الحصول على تعويض عن طريق استرداد المدفوعات الإلكترونية التي تمت مسبقًا لهذا الطلب، شريطة أن لا يتصل مندوب توصيل الطلب بالمستخدم أو لا يتم تسليم الطلب للمستخدم خلال هذا الانقطاع في الخدمة.
    • The User must verify the order upon receiving. In the event of any observations on the delivered order, the User shall contact the Customer Service via the “Contact Us” feature within (10) minutes as of the time of receiving the order for necessary actions.
    • يجب اعتبار أحكام القوة القاهرة المنصوص عليها في البند (7.1) من الشروط والأحكام كما هو مذكور هنا.
    • In the cases defined in this Clause, compensation shall be mainly made by crediting the amount to the User’s wallet on (ذا شفز) Platform. Such amount shall remain valid for the period determined in Clause 14.3. Should the User submits a request, prior to the expiration of the validity period of the amount, to transfer the amount to its bank account, such transfer shall be conducted subject to the approval of The Chefz, in accordance with the relevant laws, and after the User provides the Customer Service with the details of the bank account at its own risk and responsibility. The process of depositing the amount into the User’s bank account may take from 7 to 14 working days as of the date on which the User’s complaint is resolved by agreeing to compensate the User. In the event of any delay, the User must contact the Customer Service for necessary clarifications, and to be provided with a copy of the reimbursement notice, if requested, to follow up with the bank.

14. Wallet
    • All amounts credited to the Customer’s wallet, whether through redemption of points, compensation, cashback, rewards, or any other means that may be created later, the Customer can use such amounts to request delivery from any of the Stores available on the (ذا شفز) platform except for amount credited to be used for a specific store. The Customer shall not be able to withdraw or transfer these amounts to the bank account.
    • The amounts credited to the Customer’s wallet shall remain valid for (***) days as of the crediting date, and the Customer must use the same amount during the specified period, otherwise the Customer shall not be able to benefit therefrom in any way after the expiry date.
    • The validity period mentioned in Clause (14.2) above shall not be applicable to the amounts credited to the wallet as a result of the compensation cases described in Clause (13). In such cases, the validity period for the amounts shall be (***) months as of the crediting date to the wallet.
    • By way of exception, the amounts credited to the wallet as a result of the compensation cases stated in Clause (13) excluded from Clause (14.1), the Customer may request to transfer such amounts to their bank account during the validity period defined in Clause (14.3) above subject to the approval of ذا شفز thereon in accordance with Clause (13.7).
    • All validity periods defined in this clause may be amended and updated at any time by ذا شفز. The Customer shall be responsible for reviewing the updates or amendments on an ongoing basis in accordance with Clause (22).

15. Ratings
    • After completion of the Service provided to the User, the User may be asked to rate the Store dealt with and may also be asked to rate the representative and the Services of (ذا شفز). The User may further be asked to rate the Customer Service of ذا شفز in case of filing a complaint.
    • يجب أن يكون المستخدم الفعلي للخدمة هو الذي يقدم التقييم.
    • تقييم المستخدم للخدمات والممثل، المتاجر، والمنتجات يجب أن يكون عادلاً، صادقاً، حقيقياً، وصحيحاً بقدر الإمكان بشكل معقول. ويجب على المستخدم عدم استخدام هذا التقييم لأغراض مسيئة أو مهينة أو مضللة أو مغرضة بأي طريقة، سواء كانت إيجابية أو سلبية.
    • معايير المحتوى والمحظورات الواردة في البند (5) تنطبق على المحتوى الذي يقوم المستخدم بإدخاله وتضمينه في التقييم. وتنطبق أحكام البند (9.6) على تقييم المستخدم.
    • (ذا شفز) لها الحق في إيقاف أو تعليق أو حظر التقييم مؤقتًا أو دائمًا لجميع المستخدمين أو بعضهم أو أحدهم، لأي سبب يراه مناسبًا، بتقديرها التام.

16. Complaints and Suggestions
    • المستخدم له الحق في تقديم أية ملاحظة أو اقتراح أو شكوى أو غير ذلك عندما يجد سببًا لذلك أثناء استخدام (ذا شفز).
    • The User can submit their observation by contacting the Customer Service of (ذا شفز) by clicking on the (Contact Us) button on the (ذا شفز) Platform, choosing the type of observation from the list, and clarifying its statements in detail. The User may be contacted directly by calling the Customer Service team of (ذا شفز). Such calls may be recorded for the purpose of controlling the quality of the User’s Service.
    • At (ذا شفز) we always strive to satisfy the Users, and we promise to consider the User’s suggestions and inquiries as much as reasonably practical. We will also address the complaints submitted by the User by investigating such complaints within two days as of the submission date. The User shall be compensated in case of occurrence of any event described in Clause (13) of the Terms and Conditions. The User may follow up on the filed complaint and its outcome through the (Contact Us) feature on our Platform.
    • تنطبق أحكام معايير المحتوى الواردة في بند (5) من الشروط والأحكام على اتصال المستخدم بخدمة العملاء في (ذا شفز) من خلال أي وسيلة اتصال متاحة للمستخدم.

17. حفظ البيانات:

(ذا شفز) collects, preserves, protects and processes the User’s data and information. For more clarification about how (ذا شفز) uses the User’s data and information and the restrictions thereon, kindly review the Privacy Policy هنا.

18. حقوق الملكية الفكرية:

جميع منصة (ذا شيفز) والحقوق الفكرية والأدبية والصناعية التي تحتوي عليها - مثل العلامات التجارية والأعمال المحمية بحقوق النشر - محمية بموجب القوانين والتشريعات والاتفاقيات الدولية. لا يجوز انتهاكها بالحذف أو التغيير أو الإضافة أو التعديل أو التشويه أو البيع أو الترخيص بالنسخ أو الاستنساخ أو إعادة الطبع أو التنزيل أو الإعلان أو النقل أو التوزيع أو العرض أو التحرير أو إنشاء الأعمال المشتقة، أو التضرر أو الاستغلال بأي شكل من الأشكال، لأغراض شخصية أو تجارية؛ إلا لأولئك الذين تمت الموافقة عليهم مسبقًا بموجب موافقة مكتوبة من (ذا شيفز).

19. قوانين الحكم:

جميع التشريعات في المملكة العربية السعودية والقرارات الصادرة عن الجهات الرسمية تنطبق على جميع الأمور غير المشمولة هنا، وذلك للمواضيع التالية:

• Terms and Conditions, Privacy Policy, and any policy announced by (ذا شفز).
• The relationship between (ذا شفز) and the User while using the Services of (ذا شفز), and all disputes and claims that may arise out of or in connection with using the (ذا شفز) Platform or Services.

20. Dispute Settlement:
    • The courts of the Kingdom of Saudi Arabia situated in the city of Riyadh shall have jurisdiction to settle any dispute arising as out of or in connection with visiting our Platform or using our Services, or violating any provision of the Terms and Conditions or any law, regulations, resolution, norm or public morals; regardless the city or the state in which the User resides and seat of (ذا شفز).
    • Before filing a lawsuit at the court of competent jurisdiction to hear the dispute in Riyadh, the User must report their complaint to the Customer Service of (ذا شفز). In case of failure to reach a solution or amicable settlement within (15) days as of the date of reporting the complaint, the User may refer to the court of competent jurisdiction for adjudication. Otherwise, the User will be responsible for any fees, litigation costs, or attorney’s fees arising out of this lawsuit, even in the event of (ذا شفز)’s loss of the lawsuit and subsequent settlement of the lawsuit.
    • The provisions of this Clause and Clause 17 shall not prejudice the right of (ذا شفز) to prosecute the User when violating the laws of other states competent to consider the crimes and violations of the User within their territories.

21. الأحكام المتنوعة:
    • The Privacy Policy and any other policy that we may publish shall be considered a supplementary and complimentary to the Terms and Conditions.
    • أي عدم ممارسة لأي من حقوق أو سلطات (ذا شفز) المنصوص عليها في شروط الاستخدام أو السياسات الأخرى لا يشكل تنازلًا عن تلك الحقوق والسلطات.
    • The invalidity of any provision of the Terms and Conditions or other policies on violation of any legislation shall not affect the validity of the remaining provisions which shall remain in full force and effect.
    • In the event of a conflict between the Arabic version of Terms and Conditions and the version in another language, the Arabic language version shall prevail. This clause shall apply to these Terms and Conditions, the Privacy Policy and any other policy formulated by ذا شفز.
    • (ذا شفز) shall send notices and notifications to the cellphone number or e-mail that the User registers in their account. The User shall change the cellphone number and e-mail upon any change therein. Otherwise, they will be considered in force and legally binding by law.

22. تعديل الشروط والأحكام:
    • نحن في (ذا شفز) لدينا الحق في تعديل الشروط والأحكام، سياسة الخصوصية أو أي سياسة أخرى معلنة، في أي وقت.
    • من مسؤولية المستخدم مراجعة التحديثات أو التعديلات التي تم إجراؤها اعتبارًا من تاريخ إعلامه بتلك التعديلات.
    • These amendments shall be effective and enforceable against the User having been notified thereof.
    • The notification shall be considered duly made and served once published on (ذا شفز) Platform with a notice of its modification on this Platform, or by sending an electronic hyperlink leading the User to the modification or sending an alert of its modification to the means of communication that the User enters in their account. The User’s negligence in reviewing such modifications or the messages, shall not be considered to determine whether the notification is duly made and served or not.
    • In the event that the User does not agree to any of the amendments, the User must stop using the Services of (ذا شفز) and log out the Platform. To prevent the processing of their data in accordance with the Terms and Conditions and the Privacy Policy, the User must submit a request to us to cancel the account.
